What is a Winding up Petition?

It is a creditors most destructive weapon in recovering monies due to it from your company

The Winding Up Petition is a legal document, filed at court, asking the Court to put your company into compulsory liquidation. If your company owes £750 or more (which is not disputed) to any creditor, the creditor has the right to issue a Winding up Petition. The Winding Up Petition, if not dealt with, closes the company down and puts it into Compulsory Liquidation.

If you have a Winding Up Petition, or somebody has threatened to issue one, you need to do something about that right now. Don’t wait, because the clock is ticking. You need expert advice and quickly. So contact us without delay on 0800 007 5010.

A Winding Up Petition is often used as a mechanism of last resort, to force a company into payment. If payment is not made prior to the hearing of the Winding Up Order, your company will go into liquidation with the Official Receiver acting as Liquidator.

This is essentially the end of the company. All employees will be dismissed, bank accounts will be closed and the company will be forced to cease trading if it has not already done so.

If this sounds like your worst nightmare, you need to take advice straight away. There are still options available to you, but as the clock ticks these options become more limited. Do not delay, call us on 0800 007 5010.

What if I dispute the debt, or the amount owed?

A Winding Up Petition should only be issued for undisputed debt, so if you dispute the debt you need to advise the person issuing the Winding Up Petition.

A Winding Up Petition should only be issued for undisputed debt, so if you dispute the debt you need to advise the person issuing the Winding Up Petition.

You need to get agreement to dismiss or adjourn the Winding Up Petition until the dispute is resolved, but If any element of the debt over £750 is not disputed, the Winding Up Petition will continue.

If there is a dispute, this is likely to result in legal arguments and costs having to be paid to lawyers. If the debt has got as far as a Winding Up Petition, it is likely that you are not in a position to engage lawyers to defend your position, so it is unlikely that you can afford lawyers to engage in dispute resolution proceedings as well.

We can help here. We can help you look at alternative outcomes, and different ways forward. Call us on 0800 007 5010.

What happens after a Winding Up Petition is served on my Company?

In order to follow court procedure, the Winding Up Petition must be advertised. This can be done at any period between 7 days after the Winding Up Petition has been served, and 7 days before the hearing is due to take place. THE COMPANY BANK ACCOUNT WILL BE FROZEN when the petition is advertised. The company’s bankers have no option than to take this step.If this has happened, or is about to happen it is likely to mean that your company cannot continue. You should seek advice for your Company. You should talk to Company Advice on 0800 007 5010 to discuss your options.

Any transactions that the Company carries out after it becomes aware of the Winding Up Petition are potentially void against a subsequently appointed liquidator.

HMRC have issued a Winding up Petition. Is there anything I can do?

“Yes” is the answer to this question, you definitely still have options, but you need to move fast, and you need to consider the benefits of taking steps compared with doing nothing.

If you do nothing, it is extremely likely that the Winding Up Petition will go through, unless a secured creditor interferes with that process to force another type of insolvency upon your Company. There are a number of other options, but their suitability depends upon the individual circumstances of your Company, it’s asset position, it’s creditor position, it’s future trading and viability.

The best way to find out how to do the right thing is to seek advice. We are Company Advice. Call us on 0800 007 5010
